General Terms and Conditions of Sale

These General Terms and Conditions of Sale (GTC) govern all purchases of SmartGates products and services by ShoWise SASU. By placing an order, the buyer unconditionally accepts the GTC in force on the date of the order. Mandatory consumer rights under EU law are preserved in all cases.
Art. 1 — Identification of the Seller
ShoWise SASU — simplified joint-stock company, capital €10,000, SIREN 992 623 017, registered office: 16 rue de Moussy, FR-95750 CHARS, France — sells SmartGates products and services under the SmartGates brand. Contact: contact@showise.fr. Intra-community VAT: FR06 992 623 017.
Art. 2 — Scope and Acceptance
These GTC apply to all orders for SmartGates products and services. By placing an order, the buyer accepts these GTC in full. For professional buyers (B2B), any derogation requires prior written agreement. Consumers retain all rights granted by mandatory consumer protection law applicable in their country of residence.
Art. 3 — Products
SmartGates products include hardware devices (including SG Anywhere and SG Drive Anywhere) and associated digital services (smartphone application, access management platform). Product descriptions on the website are for information purposes. Products must be installed and used strictly in accordance with the applicable user manual and within the specified technical limits.
Art. 4 — Prices
Prices are displayed in euros (€). Consumer prices include all taxes (TTC, including French VAT at 20%). Professional prices are shown excluding VAT (HT). Delivery charges are calculated at checkout. The applicable price is the price confirmed at the time the order is placed. Customs duties and import taxes for non-EU deliveries are not included (see Art. 13).
Art. 5 — Orders
Orders are placed via the SmartGates website. The sale is concluded upon dispatch of an order confirmation email by ShoWise. ShoWise may refuse any order for a legitimate reason (unavailability, payment failure, suspected fraud); any amounts already paid will be refunded within 14 days. Professional buyers acknowledge they are acting in the course of their business activity.
Art. 6 — Payment
Payment is due in full at the time of order. Accepted methods: credit/debit card and PayPal. Transactions are secured (SSL/TLS). Electronic invoices are issued per order. For professional buyers (B2B), late payment penalties apply automatically at 3× the French statutory interest rate, plus a flat indemnity of €40 for recovery costs (Articles L.441-10 and D.441-5 of the French Commercial Code).
Art. 7 — Delivery
Products are shipped via La Poste Colissimo. Delivery times are indicative (typically 3–5 business days in metropolitan France; longer internationally) and do not constitute a binding commitment. Risk transfers to the buyer upon delivery. Consumers who do not receive their order within 30 days of shipment may cancel and obtain a full refund (Art. L.216-2 of the French Consumer Code). Transit damage must be reported to the carrier and to ShoWise at contact@showise.fr without delay.
Art. 8 — Right of Withdrawal (Consumers only)
Pursuant to Articles L.221-18 et seq. of the French Consumer Code, consumers have 14 calendar days from receipt of the product to withdraw from the purchase without reason or penalty. Withdrawal must be notified in writing to contact@showise.fr within this period; the product must be returned within 14 days of notification. Return costs are at the consumer\'s expense. Refund (including standard initial delivery) is processed within 14 days of receipt of the return or proof of shipment.

Returns must be in original condition and packaging, with all accessories and documentation. Products returned damaged, incomplete, or showing signs of improper use may result in partial refund or rejection. Return address: ShoWise, 16 rue de Moussy, FR-95750 CHARS, France.

Art. 10 — Legal Warranties
Legal warranty of conformity (consumers): 2 years from delivery; no proof of defect required during the first 12 months (Articles L.217-4 et seq. of the French Consumer Code). The consumer may choose repair or replacement.
Warranty against hidden defects (all buyers): 2 years from discovery of the defect (Article 1641 of the French Civil Code). The buyer may choose a full refund or a price reduction.

Art. 11 — Commercial Warranty
ShoWise provides a 2-year commercial warranty on manufacturing defects from the delivery date. ShoWise will repair or replace the defective product at its discretion and covers return shipping for valid warranty claims.

- Physical damage (impact, water ingress, fire, extreme temperatures)
- Unauthorised modification or repair by a third party

Art. 12 — Optional Warranty Extension
An optional extended warranty may be purchased at checkout (duration and price as specified). It supplements the standard 2-year warranty upon expiry, under the same terms and exclusions. The extended warranty is personal, non-transferable, and lapses upon resale of the product.
Art. 13 — Customs Duties Outside the European Union
For deliveries to destinations outside the European Union (including but not limited to the United Kingdom, Switzerland, Norway, Iceland, and all other non-EU countries), the buyer is solely responsible for all customs duties, import VAT, excise duties, and any other charges levied by the destination country\'s authorities. These charges are not included in the displayed price and are not paid by ShoWise.
ShoWise accepts no responsibility for applicable customs charges. Buyers are strongly advised to enquire with their local customs authority before ordering. Refusal to pay customs duties or package seizure does not entitle the buyer to a refund unless the goods are physically returned to ShoWise in their original condition.

Art. 14 — Software Licence and Subscription Plans
Hardware purchase includes access to the SmartGates application and platform. A free tier is available for individual users. Paid plans for professional users offer extended capacity and features (pricing and terms published at commercial launch — see website).

Art. 15 — Intellectual Property
All elements of the SmartGates brand, products, software, website, and documentation are the exclusive property of ShoWise SASU or its licensors. Any reproduction, modification, or distribution without prior written authorisation is prohibited. The buyer receives only the right to use the product for its intended purpose and the software licence described in Article 14.
Art. 16 — Limitation of Liability
ShoWise shall not be liable for indirect or consequential damages (loss of profit, data loss, business interruption) arising from use or inability to use its products. ShoWise is not liable for security incidents resulting from improper use or failure to secure access credentials, nor for connectivity failures beyond its control. Total liability is limited to the price paid for the product giving rise to the claim.

Art. 17 — Force Majeure
ShoWise shall not be liable for any failure caused by events beyond its reasonable control, including natural disasters, strikes, supply chain disruptions, acts of government, or telecommunications failures. If force majeure lasts more than 30 consecutive days, either party may terminate the affected contract in writing; amounts paid for undelivered goods will be refunded within 14 days.
Art. 18 — Personal Data
Personal data (name, address, email, phone) is processed by ShoWise SASU as data controller for order fulfilment, delivery, customer service, and (with consent) marketing. Data is not sold to third parties. Buyers may access, rectify, erase, restrict, and port their data by contacting contact@showise.fr. Complaints may be lodged with the CNIL (www.cnil.fr). Art. 19 — Consumer Mediator
Consumers who cannot resolve a dispute through customer service (Art. 20) may refer it free of charge to a consumer mediator, pursuant to Articles L.616-1 and R.616-1 of the French Consumer Code.

Art. 20 — Amicable Resolution
Before any legal proceedings, both parties agree to seek an amicable resolution. Buyers should contact ShoWise at contact@showise.fr with their order reference and a description of the issue. ShoWise will respond within 15 business days. This does not affect the buyer\'s statutory rights, including the right to approach the consumer mediator or a competent court.
Art. 21 — Applicable Law and Jurisdiction
These GTC are governed exclusively by French law.
Professional buyers (B2B): disputes are subject to the exclusive jurisdiction of the competent French courts.
Consumer buyers (B2C): nothing in this clause deprives a consumer of the protection of mandatory provisions of their country of habitual residence. EU consumers may bring proceedings in their country of domicile pursuant to Regulation (EU) 1215/2012.
Professional buyers (B2B): disputes are subject to the exclusive jurisdiction of the competent French courts.

Art. 22 — Modification of the GTC
ShoWise may modify these GTC at any time. The version in force at the time of the order governs that order. Subscribers will be notified of material changes at least 30 days in advance by email. Continued use of the service after the effective date constitutes acceptance of the updated GTC.
Art. 23 — Severability
If any clause of these GTC is held invalid or unenforceable by a court of competent jurisdiction, the remaining clauses remain in full force and effect. The parties shall replace any invalid clause with a valid one that most closely reflects the original intent.
Art. 24 — Entire Agreement
These GTC, together with the order confirmation and any specific terms incorporated by reference, constitute the entire agreement between ShoWise and the buyer regarding the purchase of SmartGates products and services, superseding all prior negotiations, representations, or agreements relating to the same subject matter.
